Terms and Conditions

This document outlines the terms and conditions ("Terms") for the provision of English editing and proofreading services ("Services") by Upwrite, hereinafter referred to as the "Company," to the client, hereinafter referred to as the "Client." 

 

1. Service Scope:  

1.1 The Company agrees to provide English editing services to the Client, including but not limited to proofreading, copyediting, and content improvement based on the material provided by the Client.  

1.2 While the editor has the discretion to introduce creative elements to enhance the service, such additions are considered beyond the defined scope of the service. 

1.3 Any supplementary services related to content creation (new paragraphs, new insights, etc.) to be done by the editor may incur additional charges, determined by the complexity of the subject matter. 

1.4 The Client agrees to provide the necessary materials for editing in a timely manner. 

 

2. Payment:  

2.1 The Client agrees to pay the agreed-upon fee for the Services as outlined in the invoice provided by the Company. 

2.2 In instances where the transaction is carried out outside the Soomgo and KMong platforms, the payment terms are as follows:  

2.2a In instances where the service fee is 300,000 won or less, the Company requires full payment prior to the initiation of the service. 

2.2b In instances where the service fee exceeds 300,000 won, a prerequisite 50% downpayment is mandated to commence the service. The remaining balance must be settled on the day of project delivery to the Client. 

2.3 Failure to make payment within the specified timeframe may result in suspension of Services until payment is received. 

3. Delivery:  

3.1 The Company will make reasonable efforts to deliver edited documents within the agreed-upon timeframe. 

3.2 The Client agrees to provide sufficient lead time for the completion of editing services, taking into account the scope of work. 

4. Revisions:  

4.1 The Client is entitled to request revisions within 3 working days of receiving the edited document. 

4.2 Revisions requested beyond the specified timeframe may be subject to additional charges. 

5. Confidentiality:  

5.1 The Company agrees to treat all Client documents and information as confidential and will not disclose or share them with third parties.  

6. Copyright:  

6.1 The Client retains full copyright and ownership of the content submitted for editing.  

6.2 The Company retains the right to showcase the edited work in its portfolio or promotional materials unless otherwise agreed upon in writing. 

7. Termination:  

7.1 Either party may terminate the agreement with written notice if the other party breaches a material term of this agreement.  

7.2 In the event of termination, the Client agrees to pay for Services rendered up to the date of termination. 

8. Liability:  

8.1 The Company shall not be liable for any consequential, incidental, indirect, or special damages arising out of or in connection with the Services.  

8.2 The total liability of the Company for any claim arising from or related to the Services shall not exceed the total fees paid by the Client. 

9. Governing Law: This agreement shall be governed by and construed in accordance with the laws of South Korea.  

10. Changes to Terms: The Company reserves the right to modify these Terms at any time. Clients will be notified of any changes, and continued use of the Services constitutes acceptance of the modified Terms. 

By engaging in the Services provided by the Company, the Client acknowledges and agrees to abide by these Terms and Conditions.
